At least one New Jersey court has held, in connection with a refund claim, that the nonresidential development fee imposed by municipalities upon developers is premised upon the equalized assessed value of the building and related site improvements, rather than upon the value of the building, only; the value of the land upon which the development was constructed is not to be included in the calculation. In so doing, the court rejected the developer’s argument seeking to limit the fee to a percentage of the building’s value. It likewise rejected the municipality’s argument seeking to expand the fee to include a percentage of the value of the land.

The federal government has known for some time that taxpayers who are dual citizens or dual residents of the United States and another country may have knowingly or innocently failed to timely file U.S. federal income tax returns. This would occur, for example, where a U.S. citizen lived outside of the United States for an extended period of time without having formally expatriated both for U.S. immigration and tax law purposes. Such individuals may therefore have failed to file annual U.S. income tax returns, including quarterly estimated tax returns (and payments), and timely paid U.S. income taxes due, net after application of the foreign tax credit rules, other provisions in the Internal Revenue Code resulting in a reduction of U.S. income tax or by application of a pertinent income tax treaty or convention. The same problems could also arise with dual residents who, despite thinking they could be advantaged by a favorable tie-breaker provision in an applicable treaty, would still be accountable to file FBAR and other ownership disclosure forms despite holding a belief, in good faith, that they were “non-resident” for all purposes.

Tax-qualified retirement plans such as defined benefit pension plans and 401(k) plans are granted substantial tax benefits by the federal government in order to encourage private retirement savings. This is why employers sponsoring those plans are entitled to a tax deduction for the year in which they make contributions to the plans while employees who will ultimately benefit from these contributions are not taxed until the benefits are actually paid to them from the plans, even if the employees are fully vested in their plan benefits many years before they receive distributions.

“Finders” or “business brokers” may be the unsung heroes of early-stage companies, or, as the U.S. Securities and Exchange Commission (SEC) believes, they may be unregistered broker-dealers. Finders raise capital for companies that might not otherwise have capital on their own or, more importantly, would not draw the attention of investment bankers, who by definition are licensed broker-dealers. Finders and those who employ them must be aware of the risks associated with their services and the requirements imposed on them by the federal securities laws. Companies or individuals who intend to use a finder—or those engaged as one—must be aware that certain activities require registration, the lack of which may bring about serious consequences.

Sound familiar?
